P. Preamble
P.1 Licensor. LasMind Technologies (brand "LasMind") [full legal entity name, registered address, company/registration number — to be confirmed]. Copyright (c) 2026 LasMind Technologies.
P.2 Product. LasMind Vision.
D. Shared definitions
D.1 "Product" means LasMind Vision in all its forms: (a) the LasMind Vision Chrome extension (colour filters, colour check, read aloud, text size, high contrast); (b) the npm package @lasmind/website-accessibility (website widget) and any renamed or successor package; (c) the npm package @lasmind/website-accessibility-core (engine) and any renamed or successor package; and (d) related documentation.
D.2 "Version" means a release of the Product identified by a semantic version number in its manifest.json or package.json.
D.3 "Licensor" / "LasMind" means the party named in P.1.
C. Common terms (apply to every Version)
C.1 Notices. Copyright and license notices in the Product must be kept in all copies or substantial portions (this is also an MIT condition).
C.2 Version boundary — the only split.
- Versions 0.2.0 and earlier are licensed under Section A (MIT), permanently. Rights already granted under MIT for those Versions can't be withdrawn.
- Versions 0.3.0 and later that ship with this license (or a reference to it) in their LICENSE file and
package.jsonlicense field are "Covered Versions" and are licensed under Section B (Commercial). - A Version is governed only by the Section for its own version number. Using a Covered Version doesn't affect MIT rights in an earlier Version.
C.3 Not medical advice. The colour check is a screening aid only. It is not a medical device or a diagnosis and doesn't replace an eye-care professional.
C.4 Not legal advice. LasMind doesn't give legal advice. Nothing LasMind says in documentation, marketing, sales calls or support is legal advice or a statement that anyone is compliant.
C.5 No compliance guarantee. Using the Product doesn't make any website, app, document or service conformant with WCAG or compliant with any accessibility law.
C.6 On-device design. The Product is designed to run on the end user's device and not to make network calls to LasMind; settings stay in the user's browser storage.
C.7 Warranty. Every Version is provided "as is". Section A's warranty disclaimer applies to MIT Versions; Section B §B.8.5 applies to Covered Versions.
C.8 Severability. If a clause is unenforceable, it is enforced to the maximum extent permitted and the rest stays in force.
Section A — Before commercial (MIT): Versions ≤ 0.2.0

B.1 Plain-language summary
- Free for people. An individual using LasMind Vision for themselves (the Chrome extension, the color blind test, read aloud, text size, high contrast, or the widget on their own non-commercial personal website) pays nothing.
- Paid for organizations. Any company, bank, insurer, brand, government body or other organization that deploys LasMind Vision needs a paid license. That covers internal use (for employees) and customer-facing use (for example, a food delivery app offering it to its customers). It includes affiliates, and agencies or contractors installing it for a client.
- Priced per Active User in tiers. 1–100 users at the highest rate, 101–1,000 lower, 1,001–4,999 lower again, 5,000+ lowest. All prices are placeholders.
- Two ways to pay. (a) Subscription (monthly or annual): includes accuracy updates and enhancements while it's active. (b) One-time fee: a permanent license to the version you bought, with no update rights, unless you join the Feedback Program.
- Feedback Program (one-time fee only). If at least 10% of your Active Users give honest feedback each quarterly period, you get the latest versions as they're released. If you fall short, update access pauses. Your license doesn't end, and there's no penalty.
- No guarantees. LasMind Vision helps with accessibility. It does not make you compliant with WCAG, the ADA, the European Accessibility Act or any other law. You stay fully responsible for your own compliance. No SLA, no deliverables, no penalties, and liability is capped.
- Policy changes are on you to tell us. If your internal rules change and the tool no longer fits, send us a written list of exactly what to change (A, B, C…). We'll then adapt on reasonable efforts. Until we have that list, we have no obligation.
B.2 Commercial definitions
2.1 "Software" (for Section B) means the Product (Part 1, §1.2), in each case only for the Covered Versions (§C.2): (a) the LasMind Vision Chrome extension (color blind filters, color blind test, read aloud, text size, high contrast); (b) the npm package @lasmind/website-accessibility (website widget) and any renamed or successor package, including @lasmind-technologies/website-accessibility; (c) the npm package @lasmind/website-accessibility-core (engine) and any renamed or successor package, including @lasmind-technologies/website-accessibility-core; (d) any build, bundle, fork-by-Licensee, port, wrapper or derivative of (a)–(c) made by or for the Licensee; and (e) related documentation.
2.2 "Personal Use" means use of the Software by a natural person, acting for themselves and not on behalf of any Organization, where all of the following are true:
- (a) the individual installed or enabled the Software themselves, on a device or browser profile they control; and
- (b) no Organization has required, recommended as a standard, deployed, pre-installed, force-installed, managed, configured, distributed, paid for or reimbursed the Software for that individual; and
- (c) if the Software is embedded in a website or app, that site or app is the individual's own non-commercial personal site (e.g. a personal blog or portfolio) that does not sell goods or services, carry paid advertising, or promote an Organization.
An individual who installs the free Chrome extension on their own and happens to use it while at work is still Personal Use, unless their employer did any of the things in (b).
2.3 "Organization" means any entity or person other than an individual acting under Personal Use, including companies, partnerships, LLPs, sole proprietorships and self-employed persons acting in business, trusts, cooperatives, banks, insurers, government and public bodies, educational institutions, hospitals, non-profits and NGOs, together with all of its Affiliates.
2.5 "Affiliate" means any entity that directly or indirectly controls, is controlled by, or is under common control with an Organization, where "control" means owning more than 50% of voting interests or the power to direct management or policies. Affiliates' Active Users are combined with the Organization's for tier and Feedback Program purposes.
2.6 "Commercial Use" means any use, deployment or distribution of the Software by, for, or on behalf of an Organization, whether or not the Organization charges for it or makes a profit. It includes, without limitation:
- (a) Internal deployment: making the Software available to employees, contractors, interns or other personnel, including by installing it on managed devices, force-installing or allow-listing the extension through enterprise browser policy, adding it to a standard image, or recommending it as an official tool;
- (b) Customer-facing deployment: embedding the widget or engine in, or offering the Software on, any website, web app, mobile app, kiosk, intranet, portal or other surface used by the Organization's customers, users, members, students, patients, citizens or the public (e.g. a food delivery app offering it to its end customers);
- (c) Agency and contractor deployment: an agency, developer, systems integrator, freelancer or contractor installing, embedding or configuring the Software for a client Organization (the client is the party that must be licensed; see §3.4);
- (d) Redistribution: including the Software in a product, template, theme, plugin, SDK, platform, white-label or hosted service offered to third parties; and
- (e) any use that is not Personal Use.
Testing and evaluation by an Organization is Commercial Use, but is licensed free for an Evaluation Period of [30] days on non-production environments only (§3.3).
2.7 "Surface" means any website, domain or subdomain, web app, mobile app, desktop app, browser extension deployment, intranet, kiosk or other place where the Software runs for the Licensee.
2.8 "Active User" means each unique individual who, during a Measurement Window, on any of the Licensee's Surfaces, on any device or browser:
- (a) loaded the Software, meaning the Software's code was initialized or executed in a session presented to that individual (including the widget or extension rendering, initializing or applying a saved setting, even if the individual never opened the menu); or
- (b) interacted with the Software (opened its menu, changed a setting, used a filter, the color blind test, read aloud, text size or high contrast).
Counting rules:
- (i) Across everything. Count across all Surfaces, all devices, all browsers, all Affiliates, and all deployments made by agencies or contractors for the Licensee.
- (ii) De-duplication. One individual counts once per Measurement Window. De-duplicate by the most reliable identifier the Licensee holds (e.g. signed-in account ID, employee ID). Where an individual can't be identified, each distinct device or browser instance counts as one Active User. The Licensee may not reduce the count by guessing that unidentified devices belong to the same person.
- (iii) Internal deployment. For deployment to personnel, Active Users are at least the number of personnel to whom the Software was made available (e.g. devices or accounts where it's installed or force-installed), whether or not they used it.
- (iv) No exclusions. Bots and automated test traffic may be excluded only by a documented, consistently applied filter disclosed in the Usage Report. Sampling, modelled estimates, consent-based undercounting or "unique per Surface" counting aren't allowed unless LasMind agrees in writing in the Order Form.
- (v) Counting method. The Licensee counts using its own analytics or logs (because the Software is designed not to send data to LasMind; see §11), using the Counting Method stated in the Order Form, or if none is stated, the rules above. The Licensee must keep the raw counts and method for
[24] months.
2.9 "Measurement Window" means each calendar month. For billing, the count for a billing period is the highest monthly count in that period. For the Feedback Program, the count is the highest monthly count in the Feedback Period.
2.10 "Usage Report" means a written report, signed by an authorized officer of the Licensee, stating the Active User count per Measurement Window, per Surface, with the counting method and any bot filter used.
2.11 "Update" means any new Covered Version released after the Licensee's Purchased Version, including accuracy updates (e.g. to color filters or the color blind test), bug fixes, enhancements and new features. "Purchased Version" means the latest Covered Version generally available on the effective date of a one-time-fee Order.
2.12 "Order Form" means the order, quote, invoice or online checkout that names the Licensee, the mode (Subscription or One-Time), the tier, Active User commitment, Surfaces, Counting Method and fees. "Licensee" means the Organization named in an Order Form.
2.13 "Feedback Period" means each quarterly period from the Order effective date. ****
2.14 "Accessibility Laws" means any law, regulation, standard, guideline or procurement rule about accessibility, including WCAG (any version), the ADA (Titles II and III), Section 504 and Section 508 of the US Rehabilitation Act, the Unruh Civil Rights Act, the European Accessibility Act (Directive (EU) 2019/882) and national laws implementing it, EN 301 549, India's Rights of Persons with Disabilities Act, 2016 and its rules, and GIGW.
B.3 License grant
3.1 Personal Use (free). LasMind grants each individual a free, non-exclusive, worldwide, non-transferable, revocable-only-for-breach license to install and use the Software for Personal Use. No Order Form is needed.
3.2 Commercial Use (paid). Subject to the Licensee paying the fees and following this License, LasMind grants the Licensee and its Affiliates a non-exclusive, non-transferable (except under §17.4), non-sublicensable (except under §3.4) license, during the Term, to install, configure, embed and run the Software on the Surfaces listed in the Order Form, for up to the Active Users purchased, for internal and customer-facing purposes.
3.3 Evaluation. An Organization may evaluate the Software for free for the Evaluation Period on non-production environments with no real end users. Production use after that needs an Order Form.
3.4 Agencies and contractors. An agency or contractor may install the Software for a client only if the client holds a Commercial License (or the agency buys one in the client's name). The agency must tell the client that a license is needed, and is jointly responsible with the client for any unlicensed deployment it carries out. The Licensee's contractors may use the Software only for the Licensee's benefit; they get no rights for their own projects.
3.5 Restrictions. The Licensee may not: (a) use the Software beyond its Active Users, Surfaces or mode; (b) remove, obscure or alter copyright, license or attribution notices in the code; (c) redistribute, sell, sublicense, white-label or offer the Software, or a substantial part of its features, as a standalone product, SDK, plugin, template or hosted service to third parties; (d) circumvent any licensing check LasMind adds in a future version; (e) use the Software to build a competing accessibility product; or (f) reverse engineer, decompile or disassemble any part of the Software that isn't provided as readable source, except to the extent applicable law expressly allows this despite a contractual restriction (e.g. for interoperability). Reading, debugging and modifying readable JavaScript for the Licensee's own permitted deployment is allowed.
3.6 Visible attribution. Commercial Licensees aren't required to show a visible "Powered by LasMind" credit.
3.7 Reservation. All rights not expressly granted are reserved. No trademark license is granted except to refer truthfully to the Software by name.
B.4 Volume tiers and price anchoring
4.1 Unit. Fees are per Active User per [month / year].
4.2 Tiers. Four volume tiers as summarised in B.1; rates are set out in the Order Form.
Rule: X1 > X2 ≥ X3 ≥ X4.
4.3 The 1,001–4,999 gap. Organizations with 1,001 to 4,999 Active Users are in Tier 3, a bridge band priced at or below Tier 2 and at or above Tier 4. Nobody falls between tiers: every count from 1 upward maps to exactly one tier.
4.4 How tiers apply. Graduated pricing: the first 100 Active Users are charged at Tier 1, users 101–1,000 at Tier 2, 1,001–4,999 at Tier 3, and 5,000+ at Tier 4. This avoids a "cliff" where buying more makes the total fee drop.
4.5 True-up. If the Usage Report (or an audit) shows more Active Users than purchased, LasMind invoices the excess at the applicable tier rate, pro-rated from the month the excess began.
4.6 Taxes. Fees exclude GST, VAT, sales tax, withholding and other taxes. The Licensee pays them, except taxes on LasMind's net income. If the law requires withholding, the Licensee grosses up so LasMind receives the full fee.
B.5 Commercial modes
5.1 Subscription (monthly or annual).
- (a) Includes all Updates released during the paid term, including accuracy updates and enhancements.
- (b) Renews automatically for the same period unless either party gives notice of non-renewal at least
[30] daysbefore renewal (annual) or before the next billing date (monthly). LasMind will send a renewal reminder[30–60] daysbefore an annual renewal and will provide an online or email cancellation route at least as easy as sign-up. - (c) LasMind may change prices for a renewal term on at least
[60] days'written notice before renewal. - (d) When a Subscription ends, the license to use the Software ends.
5.2 One-Time Fee.
- (a) Grants a perpetual (subject to §10) license to the Purchased Version only, at the purchased Active User count.
- (b) No Update rights. No accuracy updates, enhancements, fixes or new versions are included, unless the Licensee earns Update Access through the Feedback Program (§6).
- (c) Growing beyond the purchased Active User count needs an additional one-time fee for the extra users at the then-current tier rate.
5.3 No support or SLA in either mode. Neither mode includes an SLA, uptime commitment, response time, support hours or delivery schedule. Any support LasMind gives is goodwill and doesn't create an obligation.
B.6 Feedback Program (One-Time Fee mode only)
6.1 Obligation. A One-Time Fee Licensee that wants Update Access must, in each Feedback Period (cadence: quarterly), deliver to LasMind Feedback Submissions from at least 10% of its Active Users (rounded up), measured using the Active User count for that Feedback Period under §2.8.
6.2 What counts as a Feedback Submission. A submission by a distinct individual Active User that:
- (a) is that person's own honest opinion and experience, positive, negative or mixed, and not written, edited, scripted or pre-filled by the Licensee or LasMind;
- (b) is collected through the channel stated in the Order Form (e.g. a LasMind feedback form or a Licensee survey);
- (c) states the person's relationship to the Licensee (e.g. "employee of the Licensee" or "customer of the Licensee"); and
- (d) comes from someone who gave valid consent under §6.4.
One individual counts once per Feedback Period. Duplicates, bot or fake submissions, and submissions that the Licensee wrote or incentivized based on sentiment don't count.
6.3 Sentiment-neutral. Neither party will condition anything on the content or sentiment of feedback. LasMind won't reject, suppress or reward submissions based on whether they are positive. The obligation is to collect honest feedback, not favourable testimonials.
6.4 Consent, voluntariness and publication.
- (a) Participation by each individual must be voluntary. The Licensee must not require, pressure, reward or penalize any employee or customer for giving or not giving feedback, or for its content.
- (b) The Licensee is the party collecting feedback from its own people and is responsible for a lawful basis, notice and consent under the data protection laws that apply to it (e.g. GDPR, India's DPDP Act 2023).
- (c) Feedback is for product improvement by default. LasMind may publish a submission as a testimonial or review only with a separate, specific, opt-in consent from the individual (and the Licensee's approval if the Licensee is named), and with a clear disclosure of any material connection (e.g. "employee of a LasMind customer that receives product updates in exchange for running a feedback program").
- (d) LasMind won't publish submissions in a way that suggests they are independent reviews by ordinary users when they're not.
6.5 Update Access when met. For each Feedback Period in which the 10% threshold is met, the Licensee is entitled to all Updates released during the next Feedback Period, at LasMind's normal release cadence. LasMind doesn't promise any release cadence, Update or feature.
6.6 Remedy if not met: update access pauses, the license doesn't end.
- (a) If the threshold isn't met, Update Access pauses for the next Feedback Period. The Licensee keeps its license to the versions it already lawfully has.
- (b) Update Access resumes at the start of the Feedback Period after the Licensee meets the threshold again.
- (c) Missing the threshold is not a breach, gives no right to terminate, and creates no fee, penalty or damages for either party. This pause is the only consequence.
- (d) The Licensee may instead switch to a Subscription at any time.
6.7 Reporting. With each Feedback Period, the Licensee sends a Usage Report and a count of Feedback Submissions. LasMind may verify these under §12.
B.7 Customer-initiated policy-change clause
7.1 LasMind does nothing upfront. LasMind has no obligation to monitor, predict or adapt to the Licensee's internal rules, security policies, content-security policies, blocklists, allow-lists, permissions, browser policies, brand rules, procurement rules or regulatory interpretations ("Customer Policies").
7.2 Change Request. If a Customer Policy changes and the Software no longer fits, the Licensee must send LasMind a written Change Request to [notice email] that lists, as separate numbered or lettered items (A, B, C, D…):
- (a) exactly what must change in the Software, its configuration or its behaviour;
- (b) the Customer Policy text or rule behind each item (or a summary if confidential);
- (c) the Surfaces, versions and environments affected;
- (d) any deadline the Licensee faces; and
- (e) a named contact.
7.3 Completeness. A Change Request is "complete" only when it contains all of 7.2(a)–(e) for each item. LasMind will tell the Licensee within [10] business days if a request is incomplete and what's missing.
7.4 LasMind's response. After it receives a complete Change Request, LasMind will use reasonable efforts to assess and, where it decides it's technically and commercially reasonable, adapt the Software or give configuration guidance. LasMind may propose a fee, a timeline, or a different solution, or decline items it reasonably can't support. It doesn't guarantee any outcome or deadline.
7.5 No liability before a complete request. LasMind has no obligation, and no liability, for any mismatch between the Software and any Customer Policy before it receives a complete Change Request, and only the reasonable-efforts obligation in 7.4 after that.
7.6 Customer's interim duty. Until a change is delivered, the Licensee is responsible for disabling, configuring or removing the Software where its Customer Policies require.
B.8 Disclaimers: a compliance aid, not a compliance guarantee
8.1 What the Software is. LasMind Vision is a user-side assistive aid. It lets individuals adjust how content looks or sounds to them (color filters, text size, contrast, read aloud) and offers a color vision screening. It does not fix the underlying code, content, structure, captions, alt text, keyboard support or other parts of the Licensee's Surfaces.
8.2 No compliance guarantee. USING THE SOFTWARE DOES NOT MAKE ANY WEBSITE, APP, DOCUMENT OR SERVICE CONFORMANT WITH WCAG OR COMPLIANT WITH ANY ACCESSIBILITY LAW, including the ADA, Section 508, the European Accessibility Act, EN 301 549, the RPwD Act 2016 or GIGW. It does not prevent complaints, demand letters, lawsuits, regulatory action or procurement rejection. The Licensee is solely responsible for its own compliance, its own audits and its own legal advice.
8.5 As-is. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS. LASMIND DISCLAIMS ALL WARRANTIES AND CONDITIONS, EXPRESS, IMPLIED OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, TITLE, NON-INFRINGEMENT AND THOSE ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. LasMind doesn't warrant that the Software is error-free, uninterrupted, accurate for every type or severity of color vision deficiency, compatible with every site, browser or device, or secure against every vulnerability.
8.6 Marketing isn't a warranty. No statement on LasMind's website, store listings, README files, blog posts, social media, demos or sales materials is a warranty, specification or commitment, unless it's written into the Order Form and signed by both parties and expressly labelled a warranty. This doesn't excuse LasMind from making truthful marketing claims.
8.7 No deliverables, no SLA, no liquidated damages. LasMind commits to no deliverables, milestones, roadmap, release dates, uptime, response times or service credits. No liquidated damages, penalties, service credits or holdbacks apply to LasMind under any circumstances. Any Licensee purchase order, vendor portal or procurement terms that add any of these are void (§17.2).
8.8 Third-party claims about accessibility. LasMind has no duty to defend, indemnify or hold harmless the Licensee against any claim, demand, complaint or proceeding alleging that a Licensee Surface isn't accessible or compliant with any Accessibility Law.
8.9 Notice of accessibility claims. If the Licensee receives an accessibility demand or lawsuit that mentions the Software, it will tell LasMind within [10] business days and won't make statements about LasMind or the Software in that matter without giving LasMind a reasonable chance to review them, unless the law or a court requires otherwise.
B.9 Limitation of liability
9.1 What's never limited. Nothing in this License limits or excludes any liability that cannot be limited or excluded by law, including (where applicable) liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, wilful misconduct, gross negligence where the law doesn't allow it to be limited, and liability to consumers or under product-liability laws that can't be excluded by contract.
9.2 Excluded damages. Subject to 9.1, NEITHER PARTY IS LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, ANTICIPATED SAVINGS OR DATA, OR FOR REGULATORY FINES, PENALTIES, SETTLEMENTS OR LEGAL COSTS ARISING FROM ACCESSIBILITY CLAIMS, however caused and on any theory of liability (contract, tort including negligence, statute or otherwise), even if advised of the possibility.
9.3 Cap. Subject to 9.1, LasMind's total aggregate liability arising out of or relating to the Software and this License is limited to the greater of (a) the fees actually paid by the Licensee to LasMind for the Software in the 12 months before the first event giving rise to liability, and (b) [amount to be confirmed]. For Personal Use (no fees paid), the cap is [amount to be confirmed].
9.4 Not limited for the Licensee. The cap in 9.3 doesn't limit the Licensee's obligation to pay fees and true-ups, or its liability for using the Software outside the license scope or infringing LasMind's intellectual property.
9.5 Allocation of risk. The parties agree the fees reflect this allocation of risk, and that these limits apply even if a limited remedy fails of its essential purpose.
9.6 Time to bring claims. Subject to applicable law, any claim against LasMind must be brought within [12] months after the claimant knew or should have known of it.
B.10 Term and termination
10.1 Term. A Subscription runs for its billing period and renews under §5.1. A One-Time Fee license is perpetual unless terminated under 10.2.
10.2 Termination for breach. Either party may terminate if the other materially breaches and doesn't cure within [30] days of written notice. Non-payment, use beyond scope and unlicensed redistribution are material breaches. Missing the Feedback Program threshold is not a breach (§6.6).
10.3 Suspension. LasMind may suspend Update Access (not the Licensee's right to run versions already lawfully held) for unpaid undisputed fees more than [30] days overdue, after [10] days' notice.
10.4 Effect. On termination for the Licensee's breach, the Licensee must stop using and remove the Software within [30] days and certify removal. On termination of a Subscription for non-renewal, §5.1(d) applies. On termination for LasMind's uncured breach, LasMind refunds prepaid unused Subscription fees, pro rata. Fees are otherwise non-refundable [except where consumer law requires].
10.5 Survival. §§2, 4.5–4.6, 8, 9, 10.4, 12, 13, 17 and any accrued payment obligations survive.
B.11 Data protection
11.1 Design. The Software is designed to run on the end user's device and, per its package description, not to make network calls to LasMind. In that design, LasMind receives no personal data from end users, and settings stay in the user's browser storage.
11.2 Licensee as controller. The Licensee is responsible for its own notices, cookie or local-storage consents, and lawful basis for running the Software on its Surfaces, and for its own Active User counting.
11.3 Feedback data. Feedback Submissions and Usage Reports may contain personal data. For that data, [role to be confirmed], and the parties will sign a data processing agreement meeting GDPR Article 28 (where applicable), India's DPDP Act 2023 and the DPDP Rules 2025, and other applicable laws, before any personal data is sent. Each party will use appropriate cross-border transfer mechanisms.
11.4 Future versions. If a future version adds any network feature (e.g. cloud read aloud or translation), LasMind will document it before release and it will be governed by an updated data processing addendum.
B.12 Audit and verification
12.1 Records. The Licensee keeps accurate records of Active User counts, Counting Method, Surfaces and Feedback Submissions for [24] months.
12.2 Self-certification first. On LasMind's written request (no more than once in any 12 months, plus once after any dispute), the Licensee will send within [30] days a Usage Report certified by an officer.
12.3 Audit. If the certification is late, incomplete or reasonably doubtful, LasMind (or an independent auditor bound by confidentiality) may, on [30] days' notice, during business hours and subject to the Licensee's reasonable security rules, review the relevant analytics, logs and records. Remote review is preferred. Audit rights last during the Term and for [24] months after.
12.4 Results. Underpayment is invoiced at the applicable tier rates (§4.5). If underpayment exceeds [5]% for any period, the Licensee also pays the reasonable cost of the audit. Otherwise LasMind pays.
12.5 Count disputes. If the Licensee disputes a count: (a) it sends written reasons and its data within [15] business days; (b) the parties' technical leads meet within [15] business days; (c) if still unresolved, either party may refer the counting question to an independent analytics expert jointly appointed (or, failing agreement, appointed by [the arbitral institution in §13]), who decides as an expert, not an arbitrator, within [30] days. The expert's decision is final on the count, absent manifest error. Costs follow §12.4. Undisputed amounts must still be paid on time.
B.13 Governing law, jurisdiction and arbitration
13.1 Option A — International customers (recommended default): governed by the laws of Singapore. Disputes are finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) under the SIAC Rules in force when the arbitration starts, seated in Singapore, one arbitrator, in English.
13.2 Option B — Indian customers: governed by the laws of India. Disputes are resolved by arbitration under the Arbitration and Conciliation Act, 1996, [institutional: e.g. SIAC, MCIA or IIAC / ad hoc], seated in `[city]`, one arbitrator, in English. Courts at the seat have exclusive supervisory jurisdiction.
13.3 Common terms. Either party may seek urgent injunctive relief from any competent court to protect intellectual property or confidential information, or to collect undisputed fees. The UN Convention on Contracts for the International Sale of Goods doesn't apply. The arbitration and its outcome are confidential. Awards are enforceable under the New York Convention.
B.17 General terms
17.1 Entire agreement. This License and the Order Form are the whole agreement on their subject and replace earlier discussions. 17.2 Order of precedence; customer paper void. If they conflict, a signed Order Form prevails, then this License. Terms in any Licensee purchase order, vendor portal, invoice-submission system or click-through are void, even if LasMind accepts or signs them as a formality, unless both parties sign an amendment that specifically names the clause it changes. 17.3 Changes.
